By accessing or using our website - compliance.trucsr.in and/or our CSR compliance tool, trackCSR 1.0 (the "Service"), you agree to be bound by these Terms of Use ("Terms"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

The Service provides a platform for managing and tracking corporate social responsibility (CSR) compliance as per the requirements of the Companies Act, 2013, and related regulations in India.

3. User Accounts

  • To access certain features of the Service, you may be required to create an account.

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

  • We reserve the right to suspend or terminate your account if we believe that you have violated these Terms.

4. Subscription and Payment

  • The Service is offered on an annual subscription basis.

  • By subscribing to the Service, you agree to pay the applicable subscription fees as specified on our website.

  • All fees are in Indian Rupees (INR) unless otherwise stated.

  • You are responsible for providing valid payment information and for ensuring that your payment method remains current.

  • We reserve the right to change our subscription fees. We will provide you with reasonable notice of any such changes.

5. Refund Policy

  • Our Service is offered on an annual subscription basis. Given the nature of our Service, which provides access to a software platform, refunds are generally not provided.

  • Refunds may be considered under the following exceptional circumstances, at our sole discretion:

  • Service Unavailability: If the Service is unavailable for a continuous period of 7 (Seven) days due to a technical fault on our end, you may be eligible for a pro-rata refund for the period of unavailability.

  • Error in Subscription: If there is a clear error on our part in processing your subscription or billing, we will take steps to rectify the error, which may include a full or partial refund.

  • Force Majeure: In the event of force majeure, which makes the service unusable.

  • Refund requests must be submitted in writing to trackcsr.subscription@trucsr.in within 7 (Seven) days of the occurrence of the issue giving rise to the refund request.

  • We will process eligible refund requests within 10 (Ten) business days.

  • We reserve the right to modify this refund policy. Any changes will be effective upon posting on our website.

  • Please note that any refunds will be at the discretion of Green Scarf Management Consultants Private Limited.

  • All refunds will be processed to the original mode of payment.

6. User Content

  • You may be able to upload or input data into the Service ("User Content").

  • You are solely responsible for your User Content and the accuracy, completeness, and legality of it.

  • By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your User Content solely to provide the Service to you.

  • You represent and warrant that you have the right to upload your User Content and that it does not violate any third-party rights or applicable laws.

  • We have the right to remove any User Content that we believe violates these Terms or applicable laws.

7. Intellectual Property

  • The Service and its content, including but not limited to software, text, graphics, logos, and trademarks, are owned by Green Scarf Management Consultants Private Limited or its licensors and are protected by intellectual property laws.

  • You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes under these Terms.

  • You may not modify, reproduce, distribute, create derivative works of, publicly display, or in any way exploit the Service or its content without our prior written consent.

8. Disclaimer of Warranties

  • The Service is provided on an "as is" and "as available" basis.

  • We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • We do not warrant that the Service will be uninterrupted, error-free, or secure.

  • We do not warrant the accuracy, completeness, or reliability of any information provided through the Service.

9. Limitation of Liability

  • To the maximum extent permitted by applicable law, in no event shall Green Scarf Management Consultants Private Limited be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, data, or other intangible losses, arising out of or relating to your use of or inability to use the Service.

  • Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid for the Service in the 12 (Twelve)months preceding the claim.

10. Indemnification

  • You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising out of or relating to your use of the Service, your User Content, or your violation of these Terms.

11. Termination

  • We may terminate your access to the Service at any time for any reason, including but not limited to your violation of these Terms.

  • You may terminate your subscription at the end of the annual term.

  • Upon termination, your right to use the Service will immediately cease.

12. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed under the laws of India.

  • Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

  • Any dispute, controversy or claim arising out of or relating to this contract, or the breach, termination or invalidity thereof, shall be settled by arbitration under the provisions of the Arbitration and Conciliation Act, 1996. The arbitral tribunal shall consist of Sole arbitrator, to be appointed jointly by the parties to the dispute. The place of arbitration shall be Mumbai, Maharashtra, India. The language to be used in the arbitral proceedings shall be English. The award of the arbitral tribunal shall be final and binding upon the parties.
